If your registered agent needs to change, that requires a separate filing (SOS Form 0075, with its own $25 fee), not the Annual Certificate.

When Is the Oklahoma Annual Report Due?

Your Annual Certificate is due on the anniversary of the date your Articles of Organization were filed, every year. There is no shared statewide deadline; each LLC has its own date.

The filing window opens 60 days before your anniversary, so you can submit early. The Secretary of State also emails a notice to your LLC's last known email address at least 60 days before the due date. Keeping a current email on file with the state matters, because that message is your official reminder.

Foreign LLCs registered in Oklahoma follow the same rule, measured from the anniversary of their Oklahoma registration rather than a formation date.

  3. Verify your information. Check the LLC name and the principal place of business. Remember that a street address is required there.
  4. Sign and pay the $25 fee. One member or manager signs; no full ownership list is required.
  5. Save your confirmation. Keep proof of filing with your business records in case a bank or lender asks for evidence of good standing.

Late Filing and Loss of Good Standing

Oklahoma enforces this deadline through your LLC's standing rather than a published late-fee schedule. Under 18 O.S. § 2055.2, an LLC that neglects, refuses, or fails to file within 60 days after the due date ceases to be in good standing. If the certificate still goes unfiled, continued non-compliance leads to cancellation of the LLC.

A foreign LLC that misses the same 60-day window ceases to be registered as a foreign limited liability company in Oklahoma, which means losing its authority to operate here.

  • Domestic corporations file no annual report with the Secretary of State. Their old recurring obligation, the state franchise tax, was repealed effective January 1, 2024.
  • Limited partnerships and LLLPs file a $50 Annual Certificate (Form 0043) on their own anniversary under 54 O.S. § 500-210A.
